[8] Even where there is no direct adverseness, a conflict of interest exists if there is a significant risk that a lawyer's ability to consider, recommend or carry out an appropriate course of action for the client will be materially limited as a result of the lawyer's other responsibilities or interests. For example, a lawyer asked to represent several individuals seeking to form a joint venture is likely to be materially limited in the lawyer's ability to recommend or advocate all possible positions that each might take because of the lawyer's duty of loyalty to the others. The conflict in effect forecloses alternatives that would otherwise be available to the client. The mere possibility of subsequent harm does not itself require disclosure and consent. The critical questions are the likelihood that a difference in interests will eventuate and, if it does, whether it will materially interfere with the lawyer's independent professional judgment in considering alternatives or foreclose courses of action that reasonably should be pursued on behalf of the client.

[21] A client who has given consent to a conflict may revoke the consent and, like any other client, may terminate the lawyer's representation at any time. Whether revoking consent to the client's own representation precludes the lawyer from continuing to represent other clients depends on the circumstances, including the nature of the conflict, whether the client revoked consent because of a material change in circumstances, the reasonable expectations of the other client and whether material detriment to the other clients or the lawyer would result.
[14] Ordinarily, clients may consent to representation notwithstanding a conflict. However, as indicated in paragraph (b), some conflicts are nonconsentable, meaning that the lawyer involved cannot properly ask for such agreement or provide representation on the basis of the client's consent. When the lawyer is representing more than one client, the question of consentability must be resolved as to each client.
Personal Interest Conflicts. [10] The lawyer's own interests should not be permitted to have an adverse effect on representation of a client. An attorney should carefully evaluate if there are current or previous personal dealings with a potential client. Examples would be a romantic relationship, friendship, or other affiliation.
Conflicts involving third parties. An attorney should represent the client without having their judgment affected by other parties. This type of conflict may arise when a client’s fees are being paid for by a third party.
Another scenario: A party seeks representation from an attorney to sue a neighbor in a civil claims case. If the attorney also represents the neighbor’s business, there would be a potential conflict of interest.

What rights do you have when engaging the services of attorneys? Attorneys are licensed by their state’s bar association and are obligated to follow their state’s rules of professional conduct. Competence. You are entitled to competent representation by the attorney. Competency requires both intelligence and experience on the part of the attorney. There are ethical rules that prohibit an attorney from taking a case that is frivolous (lacks merit) or is intended to harass another person.
As a client, you should be aware of the minimum obligations that your attorney must uphold under these Model Rules: 1. Courteous and respectful treatment. You are entitled to be treated with courtesy and respect by your attorney and all personnel in the attorney's office.

An attorney cannot lie to you and claim to be an expert in a complex personal taxation issue, when in fact he or she has never dealt with such issues. 4. Confidentiality. You are entitled to complete confidentiality of any matter when you are a client of an attorney.
For example, if you want to sue your neighbor, but an attorney also represents your neighbor’s business, the attorney cannot simultaneously represent you in your lawsuit.
If the person switching sides were an attorney instead of a paralegal — that is, if an attorney switched from the opposing firm to your firm in the middle of a case — the question would be governed by DR 5 108 and DR 5-105 (D) of the New York Code of Professional Responsibility. New York law on this question is sparse. I have found only two decisions — one state and one federal — ruling on a motion to disqualify a firm based on the presence of a non-lawyer who formerly worked at the opposing firm.
Riddell and Glover hold many lessons for New York lawyers. First, if you hire a paralegal from an opposing firm, the opposing law firm will very likely move to disqualify your firm.
